At execution, Propty will preserve an immutable execution record identifying this Order Form and each incorporated agreement actually applicable to the transaction, including the exact text or rendered copy, version, digest/hash, and execution timestamp. A URL alone is not the execution record. 7. JURISDICTION-SPECIFIC SERVICES Collections, statutory notices, lien workflows, payment functionality, and other Regulated Services may be enabled or restricted by Location and jurisdiction. Purchase of a module does not override jurisdictional availability or Propty Compliance Controls. Where a paid Regulated Service becomes unavailable under the Operator Agreement, the remedies in the Operator Agreement apply. A restriction, suspension, refusal, or fail-closed result imposed under mandatory Compliance Controls is not a breach by Propty and does not create any warranty, indemnity, or liability beyond the remedies expressly stated in the Operator Agreement. 8. OPERATOR-CERTIFIED REGULATED WORKFLOWS & TELEMARKETING COMPLIANCE Operator-Certified Regulated Workflows. Certain Propty features involve jurisdiction-specific statutory, lien, default, eviction, towing, repossession, disposition, title, publication, or other regulated workflows (collectively, “Regulated Workflows”). Operator is responsible for determining, with counsel of its choosing as appropriate, whether the factual and legal prerequisites for a Regulated Workflow apply to Operator and each affected Location and matter. Where Propty requires a legal rule pack or certification, Operator will provide or cause its authorized counsel to provide the applicable route-specific certification, including the jurisdiction, locality where relevant, vertical, remedy, capability, source authority, required notice/document, timing and service requirements, material scope limitations, and certification information requested by Propty. Propty does not make or certify Operator's underlying legal determination and does not provide legal advice. Propty executes Regulated Workflows only through the configuration and mandatory compliance controls made available by the Services and may reject, suspend, disable, or require recertification of any workflow or rule pack that is incomplete, stale, inconsistent, affected by a source change, or otherwise cannot be executed within Propty's compliance controls. Operator may not bypass or override those controls. Operator certification does not limit any obligation imposed directly on Propty by applicable law or Propty's obligations under the Agreement. Rule-Pack Currency and Changes. Operator will promptly notify Propty of any change in Operator's facts, agreements, practices, legal advice, or other information that could affect a certified Regulated Workflow. A certification may be suspended automatically upon expiration of its review period, a detected change in cited authority, a change to the applicable document or rule-pack digest, a change in jurisdiction/locality/vertical/remedy facts, or another material dependency identified by the Services. A suspended or expired certification does not authorize continued execution and must be recertified before the affected capability becomes available again. Telemarketing and Do-Not-Call Compliance. Each party is responsible for obligations imposed directly on it by applicable telemarketing, telephone-solicitation, do-not-call, calling-time, consent, and communications laws. Where Operator instructs Propty to conduct a telemarketing campaign on Operator's behalf and Operator is the seller for purposes of an applicable do-not-call regime, Operator will maintain any seller-specific registration, subscription account, access credentials, or permissions required by law and will authorize Propty or its service providers to use them solely for the permitted compliance purpose. Operator will promptly provide and update its entity-specific do-not-call requests and other legally required suppression data. Propty may impose additional consent, channel, time-of-day, jurisdiction, registry, suppression, or campaign controls and may refuse or disable a campaign that does not satisfy them. Nothing in this paragraph converts a purely informational or account-service communication into telemarketing or allocates to either party an obligation the law imposes directly on the other. Future TSR-Covered Campaign Gate. Propty is not obligated to activate any operator-directed campaign that is subject to TSR recordkeeping requirements unless the parties have first documented the campaign-specific compliance and recordkeeping allocation, evidence access, and retention responsibilities required by Propty for that campaign. This sentence does not itself allocate TSR recordkeeping responsibility and does not create an obligation to offer such campaigns. 9. OPERATOR IMPLEMENTATION RESPONSIBILITIES Operator will timely provide information reasonably required to launch the purchased Services, including as applicable: Location information; business hours; telephone routing; integrations; account data; contact information; leases or agreements; configured policies; user permissions; payment information; and legally required authorizations. This Order Form expressly provides that new subscription fees begin at checkout, before the Location becomes Live. For plans that include phone service, Propty provisions the dedicated number only after payment is confirmed. Payment does not itself activate calls, messaging, or any Regulated Service; applicable setup, verification, consent, and compliance requirements still apply. Existing subscriptions remain governed by their accepted billing terms unless the parties agree to a change. 10. A purchase order or other Operator document does not modify the governing agreements unless expressly countersigned by Propty. No special term, purchase order, statement of work, sales representation, support communication, or Operator instruction may waive or override a mandatory Compliance Control, require Propty to execute a legally blocked Regulated Workflow, or expand Propty's warranties, indemnities, or liability unless the Operator Agreement expressly permits the modification and it is set out in a written amendment signed by an authorized Propty representative. 11. ORDER OF PRECEDENCE If documents conflict, the order of precedence in the Operator Agreement applies. An express negotiated provision in this Order Form controls only where it clearly identifies the provision it modifies. Nothing in this Order Form expands Propty's warranties, indemnities, duties, or liability beyond the Operator Agreement. All disclaimers, exclusions, limitations of liability, liability caps, indemnity procedures, suspension rights, and exclusive remedies in the Operator Agreement apply to this Order Form and the Services purchased under it to the fullest extent permitted by applicable law. 14. ELECTRONIC ACCEPTANCE By signing or electronically accepting this Order Form, Operator represents that it: (1) has authority to bind the Operator identified above; (2) has reviewed and accepts this Order Form; (3) accepts the incorporated Operator Agreement; (4) accepts the incorporated DPA; and (5) confirms the information in this Order Form is accurate.
