Propty Partner Program Agreement

This agreement sets out how the Propty partner program works: how you refer operators to Propty, how you earn commission, how and when you get paid, and the rules for promoting Propty. We wrote it in plain English on purpose. Please read it before you accept.

1. Parties

This agreement is between Propty, Inc., 1205 Taylor Street, Austin, TX 78702 ("Propty", "we", "us"), and the organization or individual named on the approved partner application ("Partner", "you"). The person who accepts this agreement in the partner portal confirms that they are authorized to accept it for that organization.

2. Definitions

  • Program: the Propty partner program described in this agreement.
  • Portal: your partner dashboard at getpropty.ai/partners/portal, where you accept this agreement, get your referral link, register deals and see statements.
  • Referral Link: your personal tracked link (getpropty.ai/go/your-slug).
  • Deal Registration: an operator you register in the Portal before you introduce them to Propty.
  • Referred Customer: an operator that signs up for a paid Propty subscription through your Referral Link or an approved Deal Registration and is credited to you under section 4.
  • Paid Recurring Revenue: the subscription fees a Referred Customer pays Propty for Propty services, on invoices that Stripe records as paid. It does not include taxes, amounts refunded, credited or charged back, or amounts that are never collected.
  • Live Location: an active location on an active Propty account of a Referred Customer credited only to you.
  • Tier: your commission level under section 5, set by your Live Locations.
  • Commission: your share of Paid Recurring Revenue under section 5.

3. Enrollment and acceptance

  • You apply at getpropty.ai/partners/apply. Propty reviews every application and may approve or decline it for any reason.
  • After approval you get access to the Portal. Your Referral Link starts crediting signups only after you accept this agreement in the Portal.
  • When you accept, we record your name, the date and time, and the version you accepted.
  • The Program is free to join. You never pay Propty to be a partner. There is no quota, minimum or exclusivity.

4. Referrals and attribution

  • Referral Link: a visitor who arrives through your Referral Link is credited to you if they sign up for a paid subscription within 90 days of the click, from the same browser.
  • Deal Registration: you can register a specific operator in the Portal before you introduce them. An approved registration protects that operator for you for the window of your Tier (section 5). If the operator signs up during the window, they are credited to you. A registration that expires without a signup returns the operator to open pipeline.
  • First valid registration wins. If another partner already holds an approved registration for the same operator, yours is declined, and we tell you the date of the earlier registration.
  • No existing customers or open pipeline. You cannot be credited for an operator that is already a Propty customer, or that Propty's own sales team already contacted before your registration or click. If you have a real relationship with that operator, register them anyway with your evidence and we will review it. Any signup that conflicts with our own pipeline, or that two partners claim, is held for review and never paid twice.
  • No self-referral. You cannot earn Commission on your own properties, your employees' properties, or properties owned or managed by you or a company you control.
  • No gaming the link. Cookie stuffing, forced clicks, incentivized clicks, fake signups and similar tricks are not referrals. We may decline or reverse any credit that comes from them.
  • Our attribution records (link clicks, registrations and signup records) decide who is credited. If you think we got one wrong, email us within 60 days of the statement it affects and we will review it in good faith.

5. Commission

You earn a share of Paid Recurring Revenue from each Referred Customer, for a set number of months from the date that customer signed up. Your share and the number of months depend on your Tier:

  • Registered (from approval): 10% of Paid Recurring Revenue for 24 months; deal registrations protected for 60 days.
  • Certified (at 5 live locations): 15% of Paid Recurring Revenue for 36 months; deal registrations protected for 90 days.
  • Strategic (at 25 live locations): 20% of Paid Recurring Revenue for the life of the account; deal registrations protected for 120 days.
  • How your Tier is set: we recalculate your Tier each month from your Live Locations. The share and duration of your Tier that month apply to every Referred Customer still within its duration. A location claimed by two partners counts toward neither until the claim is resolved.
  • Tier changes: if your Live Locations rise, your higher Tier applies from the next monthly statement. If they fall below a Tier's threshold, the lower Tier applies from the next monthly statement. Commission already paid is not recalculated.
  • Refunds, chargebacks and clawbacks: Commission is earned only on revenue Propty actually keeps. If a payment we paid you Commission on is later refunded, credited or charged back, we deduct that Commission from your next statements. If no statement covers it within 90 days, you agree to repay it within 30 days of our request.
  • No other payments. Commission is the only compensation under this agreement. Founding Partner perks do not change commission rates or terms.

6. Statements and payment

  • Monthly statements: after each month ends, we prepare a statement from the invoices Stripe marked paid in that month. Each line shows the account, its Paid Recurring Revenue, your share and the amount. We review and approve every statement before payment, and it appears in the Portal.
  • Manual payment: we pay approved balances by ACH or check, monthly, normally within 30 days after approving the statement.
  • Minimum payout: we pay once your approved balance is at least $50. A smaller balance carries forward to the next month and is never forfeited while this agreement is in effect.
  • Tax forms first: we must have your signed IRS Form W-9 before your first payment. We issue Form 1099-NEC where the law requires it.
  • Your taxes: you are responsible for all taxes on your Commission. We do not withhold taxes unless the law requires it.
  • Disputes: tell us about any statement error within 60 days of the statement. After that, the statement is final, except for clawbacks under section 5.

7. Partner conduct and marketing rules

You represent Propty to operators who trust you, so these rules are strict:

  • No spam. Do not send unsolicited bulk email or messages about Propty, buy or rent contact lists to promote Propty, or post your link in places that do not allow it.
  • Follow the law. Your promotion must follow the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), do-not-call rules and every other law that applies to how you contact people. Do not call or text anyone about Propty without the consent the law requires, and honor every opt-out right away.
  • Disclose that you are paid. When you recommend Propty, make clear that you earn a commission, as the FTC's endorsement rules require.
  • Do not misrepresent Propty. Do not make false or misleading statements about Propty, its products, pricing or results, and do not offer discounts, credits or terms that Propty has not published.
  • Approved claims only. Use only claims that appear on getpropty.ai, in the Portal's co-branded materials, or that Propty approved for you in writing. Do not promise savings, revenue, search rankings, legal compliance or any other result.
  • No paid search on our brand. Do not bid on "Propty", "getpropty" or any misspelling or variation of them as a search ad keyword, and do not use them in ad copy or display URLs, without our written permission.
  • Do not imply endorsement. Do not suggest that Propty endorses, sponsors or partners with you beyond this Program, and do not present yourself as Propty or as acting for Propty.
  • No look-alike names. Do not register domains, social accounts or business names that contain "Propty" or are confusingly similar to it.

8. Trademark license

We give you a limited, non-exclusive, non-transferable, revocable license to use the Propty name and logo only to promote Propty under this agreement, and only as shown in the materials we provide. You may not change our marks or combine them with your own marks into a new logo. We may withdraw any material or the license at any time, and it ends automatically when this agreement ends. You give us permission to name your organization as a Propty partner, and to use your name and logo for that purpose, until you ask us to stop.

9. Confidentiality

Each of us may share non-public information with the other, such as statements, unreleased features and business plans. Each party will use the other's confidential information only for the Program, will not disclose it to anyone who does not need it for the Program, and will protect it with reasonable care. This does not cover information that is public through no fault of the receiving party, that the receiving party already had or develops independently, or that the law requires to be disclosed. These duties last for two years after this agreement ends.

10. Data and privacy

  • Share an operator's contact details with us only if you are allowed to, for example because they asked for an introduction.
  • We handle the personal information you send us, and the information of Referred Customers, under our Privacy Policy.
  • You will not get access to Referred Customers' Propty accounts or data. Statements show account names, paid amounts and your Commission only.
  • Each party is responsible for following the privacy laws that apply to its own collection and use of personal information.

11. Independent contractor

You are an independent contractor. This agreement does not create an employment, agency, joint venture, franchise or partnership relationship in the legal sense, even though we call you a partner. You cannot sign contracts, make promises or accept payments for Propty. You are responsible for your own costs.

12. Term and termination

  • This agreement starts when you accept it in the Portal and continues until either party ends it.
  • Either party may end it for any reason with 30 days' written notice.
  • Either party may end it immediately if the other materially breaches it. We may also end it immediately if you break the conduct rules in section 7 or the law, or if you commit fraud.
  • After termination: your Referral Link and Deal Registrations stop crediting new signups. If the agreement ends for any reason other than termination for cause, we keep paying Commission on Referred Customers credited to you before the end date, for the rest of each customer's duration, under sections 5 and 6, at the Tier you held on the end date. If we end it for cause (your material breach, a section 7 violation or fraud), Commission stops on the end date, and we may withhold unpaid Commission tied to the breach.
  • Sections 5 (clawbacks), 6, 9, 10, 11, 12, 14, 15, 16 and 17 survive termination.

13. Changes to this agreement

We may update this agreement. When we do, we publish a new version with a new version number and date at a permanent URL, and we tell you by email and in the Portal. To keep earning credit for new signups, you accept the new version in the Portal. From the day a new version is published until you accept it, your Referral Link and new Deal Registrations do not credit new signups. Commission on Referred Customers already credited to you keeps being paid under the version you accepted. If you do not want the new version, you may end this agreement under section 12. Earlier versions stay published so you can always see what you accepted.

14. Disclaimers

The Program and the Portal are provided "as is". We do not promise any number of referrals, signups or any amount of Commission, and we do not promise that the Portal or Referral Link will work without interruption. Any earnings example, including the calculator on our website, is an illustration and not an offer. We decide our own products, prices, plans and customers, and we may change or stop offering them, including to any Referred Customer.

15. Limitation of liability

Neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, arising from this agreement. Propty's total liability under this agreement is limited to the Commission paid and payable to you in the 12 months before the claim. These limits do not apply to Commission you have earned and we have not paid, to a party's indemnity duties under section 16, to breaches of section 9, or to a party's fraud or willful misconduct.

16. Indemnity

  • You will defend and hold Propty harmless from third-party claims, and the related losses and reasonable costs, that arise from your marketing or contact practices, a breach of section 7, or statements you make about Propty that we did not approve.
  • Propty will defend and hold you harmless from third-party claims, and the related losses and reasonable costs, that the Propty marks or materials we provided, used exactly as provided under this agreement, infringe that third party's rights.
  • The party asking for protection must tell the other promptly, let it control the defense, and cooperate reasonably. Neither party may settle a claim in a way that admits fault for the other without its consent.

17. Governing law and venue

This agreement is governed by the laws of the State of Texas, without regard to its conflict of laws rules. Any dispute will be decided only in the state or federal courts located in Travis County, Texas, and both parties consent to those courts.

18. Entire agreement and general terms

  • This agreement, as published at the version you accepted, is the entire agreement between us about the Program. It replaces any earlier interim program terms, emails or conversations about it.
  • If any part is found unenforceable, the rest stays in effect.
  • You may not assign this agreement without our written consent. We may assign it to a successor of our business.
  • Not enforcing a right is not a waiver of it.
  • Neither party is responsible for delays caused by events beyond its reasonable control.

19. Notices

  • To Propty: email hello@getpropty.ai, with a copy by mail to Propty, Inc., 1205 Taylor Street, Austin, TX 78702 for notices of breach or termination.
  • To you: the email address on your partner account, and the Portal.
  • Email notices take effect when sent, unless the sender gets a bounce. Keep your email address current in the Portal or by emailing us.
